Part A

ENP Construction Co. as a general contractor has the responsibility to make a project successful . At the first project who obtain the erection of school he make a contract with PATIHA an electrical subcontractor . Their contract states that PATIHA "shall install the electrical wiring as soon as ENP finishes the plastering work."

The problem with their corporation begin when PATIHA is refusing to install the wiring until the plastering work is completed. ENP has been demanding that they begin the electrical work for the past 3 weeks. PATIHA has refused .

Despite the express terms that the subcontractor must finish the job after the contractor finishes the plastering work , there is the provision in standard form of contracts ( such as Υ1 or Υ2 of the Cypriot standard form of contracts - ΜΕΔΣΚ ) that the contractor can order variations on the work to be done by the subcontractor . Clause 12 of ΜΕΔΣΚ , allows for variations either in the quality or the quantity or the time occurrence of the works .

In this case the contractor notifies the subcontractor to change the time occurrence of the works , ie he gives the subcontractor a variation order . The details of this variation order will have to be examined .

Standard form of contracts such as ΜΕΔΣΚ provide for variation orders to be given either orally or written . If the variation order was given orally then the subcontractor must , within seven days , confirm the variation order in writing if the contractor does not do so .

If the contactor issues a written variation order or the subcontractor confirms in writing the variation order , ΜΕΔΣΚ provides that the subcontractor has to comply with the variation order within seven days . If the subcontractor fails to do so , the contactor has the

This clause also needs to be streamlined, so that both parties can act quickly upon agreed changes to the contract. It would be best to amend a clause to the current contract that is specially written to handle requirement changes throughout the project. This clause should document the process to effectively make difficult change request. This process should also require sign offs from project directors from both companies. In addition, each change request needs to be a legal contract that carefully documents how the scope of the project changes with each request. Each request absolutely needs to document how the timetables and schedules will be affected through the continuation of the project.…

    Entire contract principle is an understanding and agreement that has always been a concern of many parties in the construction world. Construction activity is activities that constitute a complete unity and hard to be done partially. A variety of factors make a construction contract different from most other types of contracts. These include the length of the project, its complexity, its size and the fact that the price agreed and the amount of work done may change as it proceeds. In Gilbert-Ash (Northern) Ltd v Modern Engineering (Bristol) Ltd [1974] AC 689 at 717 Lord Diplock described a building contract as an entire contract for the sale of goods and work and labor for a lump sum price payable by installments as the goods are delivered and the work is done. Entire contract principle will involve all phases of construction in its implementation. Based on the case ever appears that the dispute that occurred within the entire contract principle much caused by the owner the dissatisfaction for work performed by contractors. Most cases that occur in the end won the owner as the party who feel aggrieved, but on the other side of the contractors also experienced the loss in no small amount. Hudson’s Building & Engineering Contracts (Sweet & Maxwell 1995, 11th Edition at p 475, 4.006, p 476, 4.008) elaborates upon this proposition stating that “ the essence of a building contract is a promise by the contractor to carry out work and supply materials in consideration of a promise by the building owner to pay for it the great majority of building contracts in the traditional form consist of an undertaking to complete the work for a contract price either ascertained (in the case of a specification form of contract without quantities) or ascertainable (in the case of a measurement contract with quantities or schedules of rates) and are therefore ‘lump sum’ or entire contracts, in the legal sense”.…
