EDUCATIONAL SPEAKER AGREEMENT

This Educational Speaker Agreement is entered into this 3rd day of June 2015, by and between:

GETZ PHARMA PHILIPPINES, INC., with office address at 2ndFloor Tower 1, The Rockwell Business Center Ortigas Avenue Pasig City (hereinafter referred to as the COMPANY).

and

Jomer Mendeguarin MD of legal age, Filipino, with clinic address at San Pablo Doctor’s Hospital, San Pablo City, Laguna and with TIN: (hereinafter referred to as the SPEAKER)

(The Company and the Speaker hereinafter collectively referred to as the “Parties”.)
I. Engagement
The speaker agrees to provide a presentation relating to Combination Treatment for Hypertension (hereinafter referred to as the “Presentation”). The date, time and location of the Presentation are as follows:

A. Date/Time: June 10, 2015; 6PM
B. Location: Simple Treats, San Pablo

II. Scope of Services
A. The Presentation shall focus on scientific and/or educational topics and shall not promote the Company’s products. However, Speaker acknowledges and agrees that as a manufacturer of health care products, the competent health authorities regulate the Company’s activities. Should the Speaker make any reference to any product of the Company in the presentation, Speaker agrees that such statements, including but without limitation to, representations relating to the use, safety and effectiveness/performance of the Company’s products and/or to actual or potential clinical outcomes which have been observed or can be expected when using said products, shall be fairly balanced.
B. The Company offers to review the Presentation from a regulatory point of view. It is, however, understood between the Parties,it is the Speaker who will determine the content of the Presentation and who will be responsible for the same.
C. Both Parties agree and state that all materials and content presented by Speaker do not infringe or violate any copyright, trademark, patent or intellectual
