AGENCY AGREEMENT

(CONTRACT NO.: AGENCY CONTRACT-P006)

GS Engineering & Construction Corp.

AND

Batangueno Human Resources Inc.,

1.January 2012

AGENCY AGREEMENT

This Agency Agreement (hereafter called “Agreement”) is made and entered into on this 1st day of January 12; by and between;

GS Engineering & Construction Corp., a corporation duly organized and existing under the laws of the Republic of Korea, having its registered office at 537, Namdaemunro 5-ga, Chung gu, Seoul, 100-722, Korea (hereafter called “GS”) and

Batangueno Human Resources Inc., a corporation duly organized and existing under the laws of Republic of the Philippines, having its registered office at Room 412 Dona Felisa Syjuco Bldg, 1872 Remedios St. Cortaft Ave. Malate Manila, Philippines (hereafter called “Agent”). (GS and the Agent shall be individually referred to as a “Party” or collectively as the “Parties”).

WITNESSETH :

WHEREAS, GS desires to employ the experienced, competent and qualified Personnel for its Overseas Project(hereafter called “Project”) in Middle Asia, East Asia and/or its future projects in other countries(hereafter called “Site”); and

WHEREAS, the Agent desires to assist GS in employing such personnel and GS is willing to appoint the Agent as GS’s non-exclusive recruiting Agent, and

NOW, THEREFORE, in consideration of the mutual premises and covenants herein contained, the Parties agree as follows:

ARTICLE 1. APPOINMENT & ACCEPTANCE

During the term and subject to the conditions set forth herein, GS hereby appoints the Agents its recruiting Agent on a non-exclusive basis, and the Agent accepts the appointment for the recommendation and recruiting of the Personnel in accordance with the written request as of GS.

ARTICLE 2. PERIOD
