Re: Mr. deCapo purchase of 1965 Corvette Stingray Did the “I accept” note scribbled on the napkin mailed to Ms. Daughtery create a binding contract between the two parties over the sale of 1965 Corvette Stingray, even though she has not received the acceptance note yet? Yes this is a binding contract between the two parties. While this may be an unconventional acceptance of an offer, it is still binding contract between our client, Mr. deCapo and Ms. Daughtery. Ms Daughtery sent our client an offer note on February 13, 2008, selling her 1965 Corvette Stingray for the amount of 25,995 plus all title transfer fees. Approximately thirty days later our client Mr. deCapo sent Ms. Daughtery his acceptance of her terms for the sale of her vehicle with the additional cost for title transfer fees. Our client chose accept her terms, via a note on a napkin and sent in the mail. The note sent from Ms. Daughtery is in fact a valid offer of sales to Mr. deCapo. It was a simple offer and only asking the price of the car as well as transfer title fee. Once Mr. deCapo accepted the offer it became a binding contract. Even though Ms. Daughtery has not received the acceptance note from our client, according to the mailbox rule once it went into the mail it became a binding contract. There were no stipulations in Ms. Daughtery’s note to a specific timeline, the thirty days it took our client to respond has no bearing. The performance is the means of acceptance in this case under the mailbox rule. The mailed acceptance is a reasonable form to commit to the offer. If our client was responding with a revocation of his offer this would not be acceptable under the mailbox rule. Especially if it was sent after the acceptance was sent. The offer of acceptance would arrive first therefore making it a binding contract between the two parties. In the case

To firstly be able to discuss the accuracy of the statement I believe it is vital to know how contract law came about and how acceptance plays a part in it. In order to do this we must have knowledge about the history of contract law and some of the first cases where acceptance existed. At the very beginning the first form of contract law would be seen as a verbal contract. As knowledge developed we can see that…

There is no contract between Ada and Ben. This is because initially Ben leaves a message on Ada’s voicemail to accept the offer. However, Ben changes his mind and posts the letter to Ada on the same day, but the letter arrived before Ada checked her voicemail. Although the voicemail was sent earlier than the letter, acceptance can only be made with actual communication and notification to the offeror. Besides, according to the postal rule, the acceptance is deemed to be competed when the properly stamped and addressed letter of acceptance is posted, and not when it is delivered to the offerors’ address, or received by them, or brought to their notice, or read by them.1 This rule, laid down in Adam v. Lindsell in 1818. It explained that if the defendants were not bound by their offer when accepted by the plaintiffs till the answer was received, then the plaintiffs ought not to be bound till after they had received the notification that the defendants had received their answer and assented to it.2 In this case, the contract be only be made unless Ada checks her voicemail before the letter arrived. Therefore, Ada does not have any legal claim against Ben.…

Question 1 Base on the case presented in this question, there is a valid promise between Tina and Yatie. According to Section 2a of Contract Act, when one person signifies to another his willingness to do or abstain from doing anything, with a view to obtain assent of the other to such act or abstinence, he is said to make a proposal. Apparently in the case that Yatie had made an offer or proposal to her business partner, Tina to supply handcrafts by sending an offer letter to Tina. Tina had received the offer letter in the next day and she had accepted the offer by asking her staff, Anis to fax a letter of acceptance as soon as possible to Yatie. According to Section 2b of Contract Act, a proposal when accepted becomes a promise. Therefore, when Tina had accepted the offer made by Yatie, a promise or agreement had begun between them. According to Section 2c of Contract Act, it says that a person making the proposal is called the promisor (offeror) and the person accepting the proposal is called the promisee (offeree). Thus, in the case above, the promisor or offeror was Yatie and the promisee or offeree was Tina. However, there is no appropriate communication of acceptance between Yatie and Tina as the general rule states that acceptance of a proposal must be communicated to the proposer in the prescribed manner. The offer letter was clearly stated that a written acceptance has to be given. If the acceptance made does not follow as per letter of offer, the proposer is entitled to insist on it, where Yatie had actually insisted to Tina that the acceptance to be made in writing. If Tina’s staff fails to follow the prescribed manner of acceptance, then there will not be a binding contract between them. However, Yatie had accepted the offer earlier from Tina verbally, before Anis made the call to confirm on the acceptance. The promise between the business partners is valid. The general rule for acceptance states that acceptance is effective or complete only when it is…

The second letter of Chiu Chor had also sent out to Hei Lau to agree to buy the car for HK$85,000 within the week that is an acceptance of the offer, however, the letter was lost in the post. Under the postal rule, an acceptance made by posting a letter is effective when it is posted (with prepaid stamp and proper address) even if it is delayed/lost in the post or never reaches the addressee (offeror). The postal rule was set out in Adams v Lindsell (1818) :…

In this scenario, Adrian act as a promisor while the Melissa act as a promisee. Adrian had made an offer to a specific person which is Melissa. Hence, only Melissa can accept the offer that made by Adrian. Thus, when the offer is accepted by Melissa, it becomes a bilateral contract (agreement that involve two person or groups). The offer that made by Adrian to Melissa in this scenario is made expressly which is made in word. Adrian had sent an offer letter to Melissa on 1st November 2015 to sell his car. The offer letter that Adrian sent is in written format, so this shows that the offer that Adrian made is in expressly format. The communication of offer is complete when the offer letter is received by Melissa on 3rd November 2015. In terms of acceptance,…
