The Impact of Mergers & Acquisitions on IT Governance Structures:
A Case Study

ABSTRACT
Developing information technology (IT) governance structures within an organization has always been challenging. This is particularly the case in organizations that have achieved growth through mergers and acquisitions. When the acquired organizations are geographically located in different regions than the host enterprise, the factors affecting this integration and the choice of IT governance structures are quite different than when this situation does not exist. This study performs an exploratory examination of

the factors that affect the choice of IT governance structures in organizations that grow through mergers and acquisitions in developing countries using the results of a case study of an international telecommunications company. We find that in addition to the commonly recognized factors such as government regulation, competition and market stability, organizational culture, and IT competence, top management’s predisposition toward a specific business strategy and governance structure can profoundly influence the choice of IT governance in organizations. Managerial implications are discussed.

    The goals of mergers range from reducing the number of competitors, to access of new products (Belcourt et al., p 330). Statistics show that 80% of new product developments fail (Howells, 2011), partly due to challenges and conflicts with human resources functions. Mergers and acquisitions are the fastest way to enter new markets. “It is estimated that 1/3 of all mergers fail due to faulty integration of diverse operations and cultures,” (Chhinzer, 2013). Therefore, the success of a merger or acquisition lies in the ability to guide, motivate, retain, and effectively use employees, and rarely has anything to do with financials. Mergers and acquisitions cause insecurity, lower levels of satisfaction at work, less affective commitment, and a loss of trust in the firm (Belcourt et al., p 329-330). In one study, it was found that declines in job satisfaction resulted in costs to the employer of approximately $17,000 per employee (Fairfield-Sonn et al., 2002).     In this article the authors show how board members can recognize their firms’ position and decide whether they should take a more aggressive stance. They illustrate the conditions under which boards should be less or more involved in IT decisions. Furthermore, they delineate what an IT governance committee should like in terms of charter, membership, duties and overall agenda. They offer recommendations for developing IT governance policies that take into account an organization’s operational and strategic needs, as well as suggest what to do when those needs change. They furthermore, demonstrate how appropriate board governance can go a long way toward helping a company avoid unnecessary risk and improve its competitive position. To define the boards involvement two strategic issues should be considered, the first is how much the company relies on cost-effective, uninterrupted, secure, smoothly operating technology systems. This issues is referred to as the defensive IT. The second one is how much the company relies on IT for its competitive edge through systems that provide new value-added services and products or high responsiveness to customers, the offensive IT. The defensive IT is about operational reliability, whereas the offensive IT tends to be ambitious and risky because they often involve substantial organizational change. Firms can either be defensive or offensive in their strategic approach to IT, hereunder there are four approaches which the authors calls “modes”. The defensive modes are Factory Mode and Support Mode and the offensive modes are Strategic Mode and Turnaround Mode.
