:JUDGMENT:

The City Civil Court Appeal is filed by the defendants in O.S.No.327 of 1994 on the file of the III Senior Civil Judge, City Civil Courts, Secunderabad, are the appellants herein. The suit was filed for recovery of Rs.2,00,000/-.

According to the case of the plaintiff, the first defendant was offered as Programmer Trainee vide letter dated 26-03-1993 on a consolidated stipend of Rs.2,250/- per month and the first defendant signed the letter of appointment on 05-04-1993 agreeing the terms and he underwent training. As guaranteeing the due performance of the terms, the second defendant stood as a surety and both the defendants executed a surety bond on 27-04-1993 and subsequently, the first defendant joined on 03-05-1993, at programme training and was paid stipend at the rate of Rs.2,250/- per month and after successful completion of the training, he was absorbed into the plaintiff company as Software Engineer vide appointment letter, dated 15-12-1993 with retrospective effect i.e., from 01-10- 1993. But, however, the first defendant left the services abruptly from 12-07- 1994 onwards. As per the terms of the contract, the defendants have to pay liquidated damages of Rs.2,00,000/- and stipend charges and also the expenses incurred by the plaintiff. Totally, the plaintiff claimed a sum of Rs.2,78,500/- as due, but confined to the liquidated damages of Rs.2,00,000/-.

    The case that was present in 16.5 is that a breach of contract by Ptarmigan Investment Company who had contracted Gunderson’s, Inc. to construct a golf course for them. After just a third of the work had been completed, Ptarmigan Investment Company ran out of funds to cater for the rest of the project. Therefore, they would not be in a position to pay for the remaining two thirds of the work. Gunderson’s, Inc. has sued the company in a bid to recover the lost profits which if granted would be given to them as damages. The question presented is whether Gunderson’s, Inc. can recover the lost profits as damages. It is evident that the investment company has gone against its agreement with the contractor. Ptarmigan Investment Company has rendered inferior performance of its obligations under the contract. In an unprecedented turn of events, they are unable to pay the contractor for their services. Although the work was yet to be completed, the contractor had anticipated a certain amount of profit. Therefore, they are justified under the law to claim compensation from the breaching party. Gunderson, Inc. can receive damages in form of monetary compensation. This is one of the methods used to remedy contract breaches. Compensatory damages are awarded in the event that a breach of contract has led to a loss of a bargain. In so doing it places the non-breaching party in the same position it would have been had the contract been fully performed with regard to the benefits accrued. In this case, payment to the contractor was estimated at $1,294,129 and payment had already been made for a third of the work. The sum of money owed to restore the bargain made is $ 867,066, which would ensure that the contractor has earned their full profits. Gunderson’s, Inc. can recover lost profits as damages because the contract was breached before completion of the construction…

    The State of U.P and Allied Constructions have entered into contract of construction of bridgecum-fall at Munda Khera Scape at the estimated cost of Rs. 37.2 lakhs. While the work was in progress, the work area was flooded in the night of August 25 and 26, 1991. Contractor herein filed a claim on account of loss sustained by him due to flooding of the work area. The owner refused to pay any compensation on the ground that this case come under the case of force majeure contained in Clause 47 and disentitled the respondent from making any claim which was on account of unprecedented rain(Which comes under force majeure by GCC). Ultimately, the matter was referred to an arbitrator. The arbitrator gave an award for payment of a sum of Rs. 12, 55,365 together with interest at the rate of 18 per cent from 1.11.1991 till the date of the award and 6 per cent thereafter. The owner filed a petition to High Court, on the ground that the arbitrator has misconduct the proceedings, inasmuch as the force majeure contained in Clause 47 disentitled the respondent from making any claim which was on account of unprecedented rain. But court gives the order in favors of contractor. Later the owner goes to Supreme Court and states that the case of unprecedented flood comes under the force majeure i.e. Clause 47 of the agreement runs under: "Neither party shall be liable to the other for any loss or damage occasioned by or arising out of act of God, such as unprecedented flood, volcanic eruption, earthquake or other convulsion of nature and other acts such as but not restricted to general strikes, invasion, the act of foreign countries; hostilities or warlike operations before or after declaration of war; rebellion, military or usurped power which prevent performance of the contract and which could not have been foreseen or avoided by a…
