Introduction
New information announcements about security offerings by publicly listed firms can cause one of three reactions in the financial markets: (i) positive, (ii) negative, or (iii) indifferent reactions. These responses are measured in the average two-day common stock price reactions adjusted for general market price changes (abnormal returns) to announcements of public issues of common stock, preferred stock, convertible preferred stock, straight debt and convertible debt. Stock markets react to such news by adjusting the market value of the company either upwards or downwards. to take account of the newly announced information.

In 1986, Clifford W. Smith Jr., took note of some very important patterns about the stock market’s reactions security offerings and explored them through his article entitled Raising Capital: Theory and Evidence. His primary finding was that, on average, announcements either lead to reductions in the market valuations of companies issuing securities or being ‘insignificantly different from zero.’ Furthermore he noted that there is usually no significant positive reaction to the valuation of a company as a result of a new security offer announcement.

His findings also differentiated and drew correlations among the types of security offerings and the intensity of market response. The stock market’s reaction to common stock offers was ‘more strongly negative’ than when preference stock and debt capital was issued. As a senior claim to common stock, it could be argued that issuing debt capital communicates information about management’s confidence in the firm to the financial markets. Smith also observed that stock markets react more unfavorably to announcements of issue of convertible loans when compared to issuance of non convertible loans. Given the characteristics of convertible loans, which contain elements of common stock, these negative reactions seemed to fit the general pattern of findings.

    The primary advantage to an investor of holding preferred stock compared with common stock is that the preferred stock return is somewhat more predictable (more certain). The issuing company will generally make a real effort to try to avoid defaulting on the preferred stock dividend. Since the return to preferred stock is reasonably well defined and since the preferred stockholders precede the common stockholders (the preferred dividends are paid before the common dividends), preferred stock is a popular type of security for executing mergers and acquisitions. From the point of view of an issuing corporation’s common stockholders, preferred stock offers the opportunity to introduce a form of leverage that could benefit the common stockholders if the corporation does very well in the future. The preferred stockholders do not normally participate in any bonanza that might occur since their dividend rate is either fixed or, if variable generally has a set maximum. It is wrong to assume that preferred stock fills a unique demand for an investment security in the market that other securities cannot fill. Dividends from common stock are as eligible for the dividend-received deduction available to corporate investors as preferred stock. Second, a portfolio of a firm’s debt and common stock can be constructed to have a return that behaves closely to the return on preferred stock. Although preferred stock may appear to a corporate issuer to be more desirable than common stock because of its financial leverage characteristics, this advantage is likely to be illusory. With the present tax law, preferred stock has no special attributes for which an efficient market would be willing to pay a premium; thus, its cost is not likely to be cheaper than other forms of financing.…

    Abstract (Summary) An Initial Public Offering (IPO) is the first sale of a company’s common stocks to investors on a public stock exchange. It is widely believed that IPO’s price appears to have relationship with its listing market price. Investor’s general perception shows IPO is under pricing and likely to obtain capital gain if immediately sell their shares in secondary market on the first day of IPO’s trading. However, there are cases whereby first day closing price is same or lower that IPO price. In this case, investors to understand the IPO pricing performance in short and longer terms. This research will examine the relationship of IPO offer price with its first day closing market price and longer term of first year closing market price and expected dividend to its first year closing market price. This study covers for IPO’s listed from January 2002 to October 2006 in Bursa Malaysia. The Paired Samples T-test and Multiple Regression techniques are conducted in this research. The analysis indicated a positive and significant relationship between IPO Price, First Day Closing Price and First Year Closing Price. The results show that First Day Closing is averagely 22.41 percent higher than IPO Price and First Year Closing Price is averagely 20.25 percent higher that IPO Price in five years period. This finding supports the IPO under pricing theories made by previous researches that could be applied in Bursa Malaysia as well. The regression analysis shows First Year Closing Price has significant influence from First Day Closing Price but only marginal influence from Expected Dividend.
