Lesson Learn From Enron and Arthur Anderson

The story of Enron and Arthur Anderson is a tale of great dishonest within the American Global financial system. Arthur Anderson L.L. P once one the highest paid accounting firms in the U.S now in shamble after a U.S. lawsuit. Enron once named “America’s Most Innovative Company” by Fortunes magazine. Two or the countries best companies, now the country most well know financial debacle The lesson that was learned in Arthur Anderson and Enron financial collapse is a warning to both investors and employees of such companies. But before we learn that lesson we need to know what lead these companies down that path and how we can prevent such misfortune from happening with other large corporations.

Enron the Beginning:

Enron was originally an American Energy company base in Houston, Texas. The northern natural gas company was formed in 1932 in Omaha, Nebraska. In 1985 it brought the smaller Houston natural gas and changes it’s named to Enron. The company was involved in transmitting and distributing electricity and gas throughout the United States. Enron developed, built and operated power plants and pipelines while dealing with there rules of law and other infrastructures world wide. The company owned a large network of natural gas pipelines which stretched worldwide including Northern Natural Gas, Florida Gas Transmission, Transwestern Pipeline company , and partnership in Northern Border Pipeline from Canada.
At its peak Enron employed approximately 22,000 people and was one of the world’s leading electricity, natural gas, pulp and paper, and communications companies, with claimed revenues of 111 billion. Soon this rose’s picture would change fairly quickly when the company CEO Kenneth Lay told the public that Enron would have to decrease shareholders equity by $1.2 billion.     After his biggest money maker was put behind bars Lay needed to find him a new money maker. So Lay hired Jeffrey Skilling to be the CEO. Jeffrey Skilling would only accept job if Enron adopted a mark-to-market accounting strategy. Mark-to-market accounting allowed the company to book potential profits on certain projects immediately after contracts were signed, regardless of the actual profits that the deal would eventually make. Many of Enron's recorded assets and profits were inflated, or even fraudulent and nonexistent.     Enron, one of the largest corporations in America and once ranked Fortune magazine’s “Most Admired Companies” went down in 2001 after they were exposed of defrauding their investors in a series of creative ways. Enron was known for being an innovative company in the energy, technology space but much of their innovation seemed to lie in how they managed to hide their debts and cover their losses through unscrupulous means. They would book hypothetical profits on projects and joint ventures that had not yet launched and on the day a deal was signed. They would hide their debts through the use of complex Special Purpose Entities (SPEs). They would solicit support from top tier investment banks by giving them lucrative deals to work on. All this and more was conducted with one clear objective in mind: to make as much money as possible through manipulation. Everyone was happy as long as there was money to be made. Ethics was out the window. Manipulating financial books and records, exploiting deregulated markets became their predominant strategy -all in the name of maximizing profits and pushing up the company’s stock price.     With any big organization going so bad, the blame starts with the top level executives, there was no different in this case. For Enron the blame started with Enron’s executives, Kenneth Lay, Jeffrey Skilling, and Andrew Fastow. Their goal was to make Enron into the world’s greatest company. To make this goal a reality, they created a company culture that encouraged “rule breaking” and went so far as to “discourage employees from reporting and investigating ethical lapses and questionable business dealings”.
