INTRODUCTION

Under the Corporations Act 20011, all the directors and officers must be under Common Law duties and Statutory Law duties to exercise their powers in order to carry on one company. It is essential for officers and directors to impose the legal duties for purposes of minimizing wrongful or illegal behaviors’ risks. Briefly, the main fiduciary duties and statutory duties contains duty to act in good faith in the interests of the company, duty to act with due care, skill and diligence, duty to proper use of position, duty to proper use of information, duty not to allow the company to trade while insolvent and so on2.

In this case study, in the Hampton Park Pty Ltd (HP), there are five directors including William, Jack, Susan, Gail and George (chief financial officer). However, since most of directors have breached duty of care under Corporations Act, these actions finally lead to insolvency of HP.

In this essay, there are two legal issues which must be analyzed and discussed. On the one hand, it will be outlined some breaches of duty of care for different directors and officers. Furthermore, the consequences or penalties shall be discussed based on this case study. On the other hand, in regard to insolvent trading, some breaches, defenses to directors and a variety of penalties are going to be advised in terms of legal regulations. After analyzing issues, a decision will be given in the end of essay.

1. DUTY OF CARE UNDER THE CORPORATIONS ACT

1.1 Breaches of Duty of Care
In this case, the central legal issue what must be analyzed is whether there exist any breaches of fiduciary duties and statutory duties under Corporations Act 2001.

The relevant areas of law which can be applied to this legal issue are under both fiduciary duty and statutory duty.

Initially, under statutory law, duty to act with due care, skill and diligence shall be used in this question. The

    S 181 states that directors should exercise their powers in good faith and proper purpose. Subjective tests (which concerns whether the director acted honestly) are involved in determining the breach of good faith (Harris, Hargovan and Adams 2013). However, Harris, Hargovan and Adams (2013) also stated that since objective evidences may also be needed in determining the breach of good faith, it is easier to bypass the subject test and prove that such conduct failed to act for a proper purpose. Fiduciary duty cases at general law on the proper purpose rule are considered when determining the scope of ‘proper purpose’ in CA s 181 (2). That is to say, the two-step process proposed in Howard Smith v Ampol Petroleum should be used under such circumstance to prove the improper purpose. Moreover, in the situation of mixed purposes, a ‘but for’ test proposed by Dixon J in Mills v Mills is involved to determine the motivation of an action. When it is proved that an action was performed in breach of s 181, as stated in Note 2 of s 181, a civil penalty should be imposed.     A company is usually established by individuals or Directors (officers included) in this case so as to run it in appropriate manner in order to make maximum profits. For this to happen, it is for the company (Pandora Diamonds and Gems Pty Ltd in our case) to enter or make contracts with outsiders like Kaplan Bank Ltd and Space Solutions Pty Ltd as far as our case is concerned. The contracts made by the company with other outsiders are usually done by Directors who are, most often than not, act as representatives of that mentioned company and be able to be liable by the acts of its Directors as stated in s126. Directors acting on behalf of the company during any contracts are usually in a crucial position of trust within that company, and therefore, the vast array of legal duties will stretch out on their shoulders for holding that position. Due to this hot position, it is easier than not, for their powers to be abused in different ways. Directors have been known to abuse their powers in office for their personal gain. For example, Directors have been held liable for inappropriately using company’s funds in making their personal secret profits. In such cases, the corporate law comes into play (the Common Law and the Corporations Act 2001 (Cth)) and Directors or any other officer who recklessly breach specific duties and obligations should be prosecuted in the court of law. So for the purpose of liability, the common law and the Corporations Act 2001 (Cth) have been laid down so as to minimize the risk of wrongful behaviors by company’s Directors. In this paper, I will discuss the responsibilities, liabilities and duties of a director(s) in a company and give examples how Directors of various companies have been accounted or held responsible for infringing Corporations Act 2001 (Cth) laws.…
