2.1.1 Teori Stakeholder
Menurut Freeman (1984) tidak seperti “sudut pandang produksi” dari perusahaan, “sudut pandang managerial” dari perusahaan memerlukan manajemen puncak untuk “secara bersama-sama memuaskan pemilik, karyawan, dan serikatnya, pemasok dan pelanggan” jika ingin sukses. Dalam sebuah organisasi "pelayanan pemangku kepentingan", manajer dalam disiplin fungsional yang berbeda dapat lebih responsif terhadap lingkungan eksternal dengan membawa maju gagasan "stakeholder internal" sebagai saluran untuk kelompok eksternal. Dalam organisasi tersebut, para eksekutif harus bertindak sebagai "juru bicara perusahaan, peserta politik dan sosial dan manajer sumber daya manusia dari perusahaan" (Freeman, 1984).

2.1.3.3 Tujuan Good Corporate Governance
Daniri (2006) berpendapat bahwa Good Corporate Governance mempunyai lima macam tujuan utama. Kelima tujuan utama tersebut adalah sebagai berikut:
a. Melindungi hak dan kepentingan pemegang saham.
b. Melindungi hak dan kepentingan para anggota stakeholders non pemegang saham.
c. Meningkatkan nilai perusahaan dan para pemegang saham.
d. Meningkatkan efisiensi dan efektifitas kerja Dewan Pengurus atau Board of Directors dan manajemen perusahaan.
e. Meningkatkan mutu hubungan Board of Directors dengan manajemen senior perusahaan.
2.1.3.4 Manfaat Good Corporate Governance
Tjager dkk. (2003) mengatakan bahwa aling tidak ada lima alas an mengapa penerapan GCG itu bermanfaat, yaitu:
1. berdasarkan survei yang telah dilakukan oleh McKinsey&Company menunjukan bahwa para investor institutional lebih menaruh kepercayaan terhadap perusahaan-perusahaan di Asia yang telah menerapkan
