BuyGasCo Corporation: The Use of Alternative Costing Methods in a Predatory Pricing Lawsuit 1 BACKGROUND2 BuyGasCo Corporation (BuyGasCo) is a major national chain of retail motor fuel (gasoline) service centers. This privately held company is very successful and has been in existence for 35 years. The service centers, owned and operated by BuyGasCo, are straightforward and typical of those in the industry. The main function of these service centers is to sell gasoline. The company sells three types of gasoline: regular (87 octane), plus (89 octane), and premium (93 octane). Each service center also sells commodities such as coffee, candy, sodas, and miscellaneous grocery items. The success of this company is mainly attributable to its low-cost strategy. Since its inception, BuyGasCo has attempted to be a low-cost distributor of gasoline. The operations at each service center are designed to be simple in order to keep costs at a minimum. This company does not spend excessively on things deemed to be unnecessary to the basic operations and success of the business, such as widespread advertising and extensive facilities modernization. For example, the company uses targeted sales advertising and promotions that have proven records of success. BuyGasCo passes cost savings on to the consumer by offering gasoline at the lowest possible price. This company has earned a good reputation among consumers and has a significant and growing portion of the retail gasoline national market share. Due to the fact that BuyGasCo is a national market leader, its major competitors are constantly seeking ways to gain market share and entice customers away from BuyGasCo. Earlier this year, Bill Hudson (CEO of BuyGasCo) received notice that one such competitor, Uncle Petroleum (UP), had filed a complaint with the Division of Standards in the Florida Department of Agriculture and Consumer Services (FDACS). The complaint stated that BuyGasCo was in violation of the Florida Motor Fuel

    When analyzing the Pinnacle Manufacturing Financial Statements there multiple concerns that should be further investigated that I will explain in this memo. When identifying the year to year change and using financial ratios found on A6, there are a couple of concerns that need to be identified. The fact that the operating expense from fluctuated from an increase $892,861 from 2009 to 2010 and then decreased by $956,231 from 2010 to 2011 should be raised in question. At the same time Operating expenses income from operations decreased from 2009-2010 by $1,260,571 and increased from 2010-2011 by $78,541. The -23.10% from 2009-2010 is concerning in their ability realized from profit on their business operation. On the balance sheet there was a substantial increase by $6,698,823 from 2010-2011. When examining this with the inventory turnover ratio from 2010 to 2011 there was a decrease in inventory. This is very concerning from Pinnacle, in respects to their industry, that there is excess inventory and that the inventory is at the end of its product life cycle and has not seen any sales. The account receivable turnover ratio measures how efficiently a company uses it assets. In this case Pinnacle has a declining at turnover ratio that indicates that Pinnacle should re-evaluate its credit policies to ensure timely receivable collection. The high debt/equity ratio means that Pinnacle has been aggressive in financing it growth with debt. Usually if a lot of debt is used to finance increased operations could lead to bankruptcy, however given the industry in which Pinnacle operates is capital - intensive (manufacturing) tends to have a debt/equity ratio around 2.     Internal and external users of financial information require assurance that reports filed are accurate and transparent. Increasingly, both investors and legislators are requiring accountability from executives and financial officers. For this reason, auditing and assurance services must sign-off or attest to the credibility and reliability of written assertions. Creditors rely on the accuracy of financial reports when calculating the risk and interest rate of loans. Investors and employees need reliable information when allocating their precious resources. Governmental agencies require transparency and compliance to insure the public is not being victimized by fraud. Do increased auditing requirements guarantee that there will never be fraud? No! Increased auditing does not promise to prevent fraud, but it does assure us that due diligence is exercised to a reasonable degree in the examination of documents and compliance. Moreover, the benefits of assurance that come from auditing inspire businesses and the economy to thrive. Consequently, the attestation portions of financial reports are a requirement for the Securities and Exchange Commission (SEC) as well. Likewise, the Internal Revenue Service (IRS) itself must consider and factor in these variables when conducting their audits, since depreciation for tax purposes is not usually identical to the depreciation used in financial reporting. Auditing is a process that takes place when an auditor gathers unprejudiced evidence regarding the reliability and integrity of financial statements, compliance, and operational information provided by an organization. Audits can be performed by different people. Independent auditors, such as CPAs, and governmental auditors, or employees working for federal, state, or local government entities.     Allen Stanford was, at one point, a successful entrepreneur whose investment company’s accounts totaled in the billions. The aforementioned keyword is ‘was.’ As CEO of Stanford Financial Group, Stanford essentially ran a massive Ponzi scheme; he issued certificates of deposit at an offshore bank that he controlled and illegally used the investors’ funds. These CD’s were appealing to investors due to their high returns of nearly twice the average rate of return of investments in U.S. banks. Investors were led to believe that these CD’s had such high returns because they were being invested in corporate stocks, real estate, hedge funds, and precious metals (BusinessWeek). BDO, the accounting firm that was responsible for auditing Stanford’s financial statements, is currently the target of a major lawsuit.
