Mr. Tung received a bachelor’s degree in science from the University of

Liverpool.

My thoughts about BOD
Alibaba’s BOD consists of relatively young directors compared to other tech giants. All the directors

have an excellent education with MBA Degree’s from best universities in US and EU, and they have

professional background on global giants like GoldmanSachs, Nestle, PWC, KPMG, McKinsey etc.

The Alibaba Group Holding board lacks an independent majority. Presence of multiple company

executives on the board beyond the CEO is a big concern. Multiple inside directors may provide a

too-strong management perspective within the boardroom. These concerns are magnified by other

aspects of the company’s ownership and board structure, e.g., the presence of a controlling

shareholder, the lack of a majority independent board, the presence of multiple company executives

on the board, the absence of an independent chairman of the board.

    Corporate governance is concerned with ways in which all parties interested in the well-being of the firm (the stakeholders) attempt to ensure that managers and other insiders take measures or adopt mechanisms that safeguard the interests of the stakeholders. A typical firm is characterized by numerous owners having no management function, and managers with no equity interest in the firm.
